Terms of use

1. Introduction

 

These terms of use (”Terms of Use”) apply to the use of Palbassador Oy’s (”Platform”) MinPiiri service on the user’s devices (”MinPiiri service”). These Terms of Use constitute a binding agreement between you and the Platform (Palbassador Oy, business ID number 2998621–3). The privacy statement applies to the processing of personal data of the MinPiiri service.

 

Please read these terms of use and the privacy statement carefully. By registering for the MinPiiri service and accepting the Terms of Use, you acknowledge that you have read and understood these Terms of Use and the privacy statement.

 

MinPiiri service is a platform through which natural persons (”User”, ”You”) can use the benefits offered to Users in the MinPiiri service by businesses and associations (”Company”) in the MinPiiri service, participate in Lotteries organised by Companies or the Platform, read Companies’ news and recommend a Company to their own network. If the user’s network uses the benefit in the User’s recommendation, the User can also receive the benefit herself/himself for each benefit redeemed by the User’s network. In addition to this, the MinPiiri service serves as a platform for browsing and following nearby Companies.

 

The purpose of the MinPiiri service is to enable referrals and other activities between Users in such a way that the Users’ personal information remains on the Platform. Companies operating in the MinPiiri service treat User information as statistical information only, and only get access to personal information in the exceptional situations described in the privacy statement.

 

These Terms of Use are binding between You and the Platform, and the Platform is not bound by the Companies’ Terms of Service or other Companies’ terms and conditions.

 

2. Definitions

 

Lottery means a lottery implemented and organised by a Company, in which the User can participate. Lotteries and benefits are free for the user, and mobile platform providers such as Apple or Google are not involved or parties.

 

Benefit/Benefits means a monetary benefit or discount offered by a Company to the User or the User’s network in the MinPiiri service. The Benefit is meant to be used in the customer-facing situations, such as at the Company’s store. Benefit can also mean the benefit received by the User herself/himself as a reward from a Referral used by the User’s network. The benefit cannot be exchanged for money.

 

Campaigns means the Benefits offered by the Company in the MinPiiri service and the Lotteries organized by the Company.

 

The User’s network means the User’s friends, family members or acquaintances, to whom the User delivers the Referral and whom the User has estimated to be interested in the content of the Referral and to be a suitable recipient.

 

The MinPiiri service means the platform service offered by the Platform, where Companies can offer Newsletters, Campaigns and Referral Campaigns to Users and Users can take advantage of the Campaigns and Referral Campaigns offered by the Companies, Recommend Companies and their services to their network, and search for and follow nearby Companies and their news.

 

Referral/Refer means a digital data entity created and registered by the User on the basis of the Referral Campaign and by utilising the Referral Functionality, which consists of i) background image and possibly other visual background elements, ii) the Benefit granted by the Company included in the image or part of it, and iii) of information about the terms of the benefit and the identifiers of its provider in visual or text form, and which the User can freely choose to send to the User’s network, e.g. via means of communication or social media channels, supplemented by the User’s own free-form accompanying message.

 

Referral campaign A referral campaign prepared by the Company by utilising the Referral functionalities for the Referral made by Users in accordance with the conditions determined by the Company at any given time, which may include e.g. the key terms of the referral campaign, the validity period and the Benefits that can be attached to the Referral.

 

Referral functionality means technical functionalities to create Referrals and to enable sharing of the Benefit contained in the Referral by the User to the User’s network.

 

Newsletter/news means general news provided by the Company in the MinPiiri service, for example about current offers, events, products, campaigns and other topics related to the Company

 

The company’s terms and conditions mean the company’s terms, rules and instructions, which the User is obliged to follow at any given time.

 

3. Access and registration

 

Using the MinPiiri service requires downloading the MinPiiri service to the User’s device and registering and creating a user account in the MinPiiri service.

 

The user must create a user account in the MinPiiri service and provide the information requested when creating the user account truthfully and correctly. The user undertakes to keep the information they provide to the MinPiiri service up to date. The user has the right to create only one personal user account. The username and password of the MinPiiri service user account are personal, and the User may not hand them over to a third party.

 

Access to the MinPiiri service is free of charge. A 15-year-old person can register as a user.

 

The user is responsible for all use of the user account related to the MinPiiri service. If the User suspects that the password or username has come into the knowledge of an outsider, the User must notify the Platform immediately.

 

In order to maintain up-to-date information, the Platform can delete all user accounts from the MinPiiri service that have not been used during the six (6) months preceding the time of deletion. The platform can also block or delete the user account of a user who violates these Terms of Use from the MinPiiri service.

 

The User may not use bots or other automated tools when using the MinPiiri service or use the MinPiiri service through user interfaces other than those provided by the Platform, for example the MinPiiri consumer application.

 

4. Rights and obligations of the parties involved

 

When using the MinPiiri service, the user agrees to comply with the legislation in force at any given time, such as marketing and consumer protection regulations, as well as to comply with these Terms of Use and other Company terms and conditions announced in the MinPiiri service. The user agrees not to use the MinPiiri service in violation of the law or good manners.

 

The user is obliged to take care of the devices and connections and their maintenance necessary to use the MinPiiri service. The minimum operating system version 12.4 is required for Apple phones and 9.0 for Android devices. In addition, the application needs rights to use the internet and, if necessary, a camera or image library. The user is responsible for ensuring that the devices or software she/he uses does not harm the Platform, the MinPiiri service or other Users of the MinPiiri service. In addition, the User must download the latest update versions of the MinPiiri service to their devices. Failure to download updates for devices and the MinPiiri service may result in the MinPiiri service no longer working on the User’s devices.

 

The platform does not act as a provider or organizer of Campaigns or Referral Campaigns offered through the MinPiiri service, but the Companies independently present their Campaigns and Referral Campaigns in the MinPiiri service. The platform functions as a platform enabling Benefits granted and Lotteries organized by Companies and Recommendations between Users.

 

If the Platform receives information about the misuse of the Benefits or another error related to the Benefit, the Platform may, at its discretion, remove the Benefit from the MinPiiri service after discussing the matter with the Company.

 

The platform has the right at any time without separate prior notice to limit or change the use of the MinPiiri service or its functions and to suspend the availability of the MinPiiri service without liability for compensation.

 

5. Companies’ material, Releases, Benefits and Raffles

 

The MinPiiri service contains Information provided by the Companies as well as Benefits and Raffles organised by them, including information about the Benefits and Raffles as well as other information about the Company and links to websites maintained by parties other than the Platform.

 

The User understands that the Company independently decides on the Company’s terms and conditions regarding Information, Benefits and Lotteries, such as the fact that the Benefits and Lotteries can only be available or participated in by certain Users, or that the Benefits may not be copied, sold, transferred or made available to other members of the public, unless the Company has expressly allowed it and that the Company may at any time decide to suspend the provision of a particular Benefit at the Company’s sole discretion. The platform is not responsible for Information, Benefits or Lotteries offered by the Companies or for the Company’s terms and conditions regarding them, nor for the correctness and timeliness of the information provided by the Companies, nor for the damages caused to the Users as a result of their use (including the correctness and information security of the links and websites included in the material by the Companies).

 

Insofar as the material contains links to websites maintained by the Companies or other third parties, the terms and conditions of the relevant Company or other third party, which are available from the service in question, apply to the use of the website and its content.

 

If the User has problems or questions regarding the Company’s Bulletins, the use of Benefits or Lotteries, the User is asked to contact the Company in question first. The user also has the option to contact the Platform’s customer service (info@munpiiri.fi).

 

6. Referrals

 

The User has the opportunity to use the Referral functionalities offered in the MinPiiri service to prepare and register image-based Referrals from the Referral campaigns offered by the Companies. The User has the opportunity to use images they have uploaded to the service or material provided by the Companies, including images, logos and other information. The User can choose the Benefit included in the Referral from the options offered by the Company; The Referral-specific Benefit in question takes effect only after the User registers the Referral in the MinPiiri service.

 

When making a Referral, the User must comply with the terms and conditions of the Company’s Referral Campaign and regulations regarding marketing, and the Platform is not responsible under any circumstances for the Referral made by Users.

 

With the help of the MinPiiri service, the User can choose to recommend a Company and/or its products by sending a registered Referral coupon to his/her network, for example via email, text message, instant message service or printed material. The User has the right to send Referrals only to persons in the User’s network whom the User considers to be interested in the content of the Referral. The user is therefore not entitled to send Referrals as mass mailings, spam or in the form of other disturbing communication.

 

In addition, the MinPiiri service enables the User to forward the referral coupon to several undefined recipients in the User’s network, for example on social media channels. In this case, the User must comply with marketing regulations and, if necessary, state that the coupon is a commercial cooperation and on whose behalf the User is advertising.

 

When sharing the registered Referral coupon, the User agrees not to modify or cover its content in a harmful or misleading manner and not to significantly reduce the quality or readability of the Referral. In addition, if the User knows that the Benefit attached to the Referral still contains conditions set by the Company that have not been visually included in the Referral, she/he agrees to pass on information about these conditions when passing on the Referral. When sharing a Referral, the User may not appear as a representative of the Company or the Platform, unless otherwise separately agreed.

 

It is forbidden to present the following type of content (such as images, presentations, writings or expressions containing the following) in the MinPiiri service: Content that violates the law or good manners, such as racist, pornographic or violent content or content that violates human dignity or privacy. The User agrees not to download, register, send or transmit (for example, by linking) material or messages through the MinPiiri service that is misleading, offensive, discriminatory, offensive, defamatory, related to criminal activity, indecent, contrary to the law or otherwise good manners or to the Platform, to others Harmful or damaging to Users, Companies or third parties or may cause disruption, errors or other interruptions to the MinPiiri service. The User has no right to upload someone else’s private or confidential information and/or images to the MinPiiri service without permission, or do anything that violates someone else’s rights, including intellectual property rights (e.g. copyright infringement, trademark infringement). The user is responsible for all damages caused by activities such as the one mentioned above. With regard to the User’s own materials uploaded to the MinPiiri service, you agree that the images and other content are your own and or You have the necessary rights to the content you publish or share.

 

The Platform does not systematically monitor or check the content uploaded by the User to the Platform. If the Platform becomes aware of the User’s actions contrary to the Terms of Use or inappropriate content uploaded to the MinPiiri service, the Platform has the right, without separate notice, to remove material from the MinPiiri service that, at its discretion, is in violation of the law, regulations or instructions of the authorities, or these Terms of Use. The platform also has the right to suspend the provision of the MinPiiri service to the User and to remove the User’s access to the MinPiiri service. In accordance with Article 17 of Regulation (EU) 2022/2065 of the European Parliament and of the Council, on the internal market for digital services and amending Directive 2000/31/EC (digital services regulation), clear and precise justifications are provided to all concerned Users of the MinPiiri service regarding the aforementioned restrictions that the Platform has set on the basis that the content provided by the User is illegal or incompatible with the Terms of Use, provided that the Platform has the User’s electronic contact information.

 

The User is responsible for the tax and reporting obligations related to the gratuitous and significant Benefits received through the MinPiiri service, e.g. in the form of money, goods, gift cards or significant discounts or other rewards.

 

If the User discovers that the MinPiiri service contains inappropriate or illegal content, or inappropriate or illegal content is registered via the service, the User is asked to contact the Platform’s customer service (info@MinPiiri.fi).

 

7. Rights to the material contained in the service

 

The MinPiiri service contains material from the Platform, the Company or the User, which may be protected by copyrights, trademarks or other intellectual property rights both in Finland and abroad. All rights (including ownership rights, copyrights, trademark rights, design rights and other intellectual property rights) to the MinPiiri service and the material it contains belong to the Platform, Companies or Users that provided the material to the MinPiiri service or to their licensors. You may not make copies of the material contained in the MinPiiri service and may not use or distribute or otherwise make it available to the public without the express written permission of the Platform or another right holder.

 

To the extent that the Company and/or the Platform provides the User with material as a background material for the Recommendation, the User receives the usage rights related to the specific Referral Campaign and assigned for this purpose to such material, such as the image and other logos and product information that may be added to the image used by the User.

 

The User may not disassemble, reverse engineer or otherwise try to find out the source code of the MinPiiri service or of related technologies or their parts. The user may also not reproduce, copy, adapt, modify or create derivative works from the MinPiiri service or any related technology or source code, or resell or use the MinPiiri service or its parts for a commercial purpose other than what is defined in these Terms of Use.

 

8. Data protection and data security

 

We protect your privacy and process your personal data responsibly in accordance with data protection legislation. In principle, we do not enable Companies to access your personal data in the MinPiiri service. Companies may process User data anonymously in order to monitor and analyze their Campaigns statistically. In case of a Lottery win, we only forward the name and contact information of the winner to the Company with your consent.

 

The platform can collect information about the User’s devices and information describing the use of the MinPiiri service. The purpose of collecting data is to analyse and develop the MinPiiri service so that it serves its Users even better and to use the information for statistical purposes such as counting the number of visitors, use of functions, usability analysis and various other measurements. The processing of personal data carried out in connection with the MinPiiri service is described in more detail in the privacy statement.

 

As a data controller, the company is responsible for complying with personal data legislation for its own operations.

 

9. Changes to the service and terms of use

 

The platform strives to continuously develop the MinPiiri service and its functions and features. The Platform is entitled to unilaterally change the content, operation and these Terms of Use of the MinPiiri service for the development of the MinPiiri service or for any other reason deemed necessary by the Platform.

 

We will announce changes to the Terms of Use before the change takes effect in the MinPiiri service. If it is more than a minor change, You must accept the changed terms in order to continue using the MinPiiri service.

 

10. Liability and limitation of liability

 

The platform does not automatically monitor or check the material added to the MinPiiri service by Users or Companies and is therefore not responsible for it.

 

All Company Campaigns and Referral Campaigns offered in the MinPiiri service are granted and organised by the Companies, and the Platform is not responsible for their correctness, validity or termination during the period of validity mentioned in the Campaign or Referral Campaign. The platform is not responsible if the product according to the Campaign or Referral campaign is out of stock at the Company’s place of use.

 

The MinPiiri service is provided at any given time as it is. The platform is not responsible for any information entered into the MinPiiri service. The platform does not guarantee MinPiiri service’s uninterrupted use or that it is error-free. The platform does not guarantee MinPiiri service’s suitability for a specific purpose, or that all information in the MinPiiri service is free of malware or other harmful material.

 

The platform is not responsible for any direct or indirect damages or harm caused by using the MinPiiri service or for any direct or indirect damages or harm linked to the Campaigns or Referral Campaigns or the information provided, unless otherwise required by mandatory legislation. The Platform is also not responsible for damages caused by force majeure regarding the Platform.

 

The User is obliged to compensate the Platform for all costs and damages caused by claims made against the Platform, if these claims result from the use of the MinPiiri service contrary to User’s or Company’s Terms of Use or from violating the rights of a third party.

 

11. Transfer of rights

 

The platform has the right to transfer the MinPiiri service and related rights and obligations to a company belonging to the same group or to a third party to which the business is transferred.

 

12. Validity of the terms of use and termination of service

 

The Terms of Use are valid until the User deletes the user account from the MinPiiri service and stops using the MinPiiri service.

 

The user has the option to stop using the MinPiiri service and delete the user account at any given time. This can be done through the MinPiiri application or by contacting the customer service (info@MinPiiri.fi). Please note that deleting the user account terminates the User’s participation and rights to all unused and ongoing Promotions and Referral Campaigns.

 

If any part of the Terms of Use is deemed invalid or unenforceable, the other parts of the Terms of Use will remain valid.

 

13. Applicable law and disputes

 

Finnish law applies to the terms of use.

 

Disputes related to the MinPiiri service, these Terms of Use, and the privacy policy will be resolved through negotiations between the parties. If the disagreement cannot be resolved through negotiations between the parties, the matter can be referred to the Consumer Disputes Board (www.kuluttajariita.fi) for resolution. Before taking the matter to the Consumer Disputes Board, you should contact the Consumer Advisory Services (www.kuluttajaneuvonta.fi).

 

If the disagreement cannot be resolved otherwise, disputes will be resolved in the Oulu district court. You also have the right to have the matter investigated in the district court of your place of residence.
